Sir.

I am directed by the Board of Trade to refer to your

Gobletter of the 13th September transmitting a copy of a Bill

entitled "The Companies Ordinance, 1915" to amend the Hongkong Companies Ordinance, 1911, and in reply I am to say that, subject to the suggestions on matters of detail which are made below, the Board concur in the terms of the

Ordinance.

In Clause 2 "British Company" and "Minister" are defined, but those expressions do not appear to be used elsewhere in the Bill.

Clause 4 (5) (a). This clause provides for an appeal from a determination by the Registrar of Companies at Shanghai to the Court, and having regard to the definition

of the Court, the appeal would be to the Supreme Court of

Hongkong. It is suggested that in the case of an appeal

from the Registrar at Shanghai it should be to the Supreme

Court for China.

Clause 6 (6). It is suggested that the words "at the end of subsection (1) (d)" should be inserted at the end of

this section.
